Global Payments has agreed to acquire rival payment processor Worldpay in a $24.2 billion cash-and-stock transaction, marking one of the most significant deals in the fintech sector this year. The agreement comes less than two years after private equity firm GTCR acquired a majority stake in Worldpay.
The deal, which involves three parties, will see GTCR receive 59 percent of the total transaction value in cash, with the remaining 41 percent to be paid in Global Payments stock. Meanwhile, fintech giant FIS — which previously owned a 45 percent stake in Worldpay — will take over Worldpay’s issuer solutions division, valued at $13.5 billion.
According to the Financial Times, the complex three-way structure of the deal underscores the increasing consolidation in the payments industry, where competition and technological innovation continue to drive strategic partnerships and acquisitions.
The acquisition will bolster Global Payments’ scale and capabilities in merchant acquiring and payment processing, while FIS’s control over the issuer solutions unit aligns with its strategic focus on core banking and card processing infrastructure.
Executives from all three companies hailed the agreement as a transformative move that positions each business to better serve their respective markets and capitalize on emerging growth opportunities in the evolving digital payments ecosystem.
